| PROSPECTUS In order to raise funds for the foundation of the Tesla Institute of Sustainable Living and Natural Development (www.tesla-island.org), we are inviting investors to share in the future profits generated by Hydroplaz / Tesla in Oz. Over the past 10 years, we have set up an organization with a potential of over US$12 million per year. The founders of the Tesla Institute realize the huge potential of the technologies we are marketing, and are already investing at least 25% of business income into this non-profit organization. Funds will be made available to projects that promote environmental healing and programs that assist communities to attain self-sufficiency. The other 75% will be distributed to the shareholders in this company in return for their faith in the full potential of profits generated. All shareholders can also elect to join our sales team and receive commissions of 15% plus the percentage of shares that they own. As of October 1, 2008, the entity that includes John M. Scotese, Hydroplaz, Tesla in Oz and Tesla ISLAND is estimated to be worth US$1.2 million dollars in the working Dutchman/UCSA Dealership 005100750*, plus cash and other assets. We are prepared to sell off up to 35% of 1000 shares in order to purchase a property in North Queensland for conception of the Tesla Institute of Sustainable Living and Natural Development. In this way, your investment becomes secure in that you can also choose to use this as a time-share in a private eco-resort that will model the latest in technology and natural infrastructure. We are currently selling 0.1% shares at US$1,200. An individual investor can own up to 350 shares. Of course, if you are considering purchasing that many, you may as well buy your own dealership. Shares are expected to increase in price each month. Once 35% of the total asset shares are sold, then individual shareholders can sell the shares themselves or use the Tesla ISLAND as the agent to resell the shares. Each shareholder will also become eligible to receive grants from Tesla ISLAND for projects that fall under the guidelines or the organization. All shareholders, also have voting rights on any decisions that need to be made within the organization. The amount of grant funding and the weight of the vote will be determined by the number of shares each individual shareholder holds. So the best case projected scenario could yield investors a ten-fold return on their investment each year with a chance of healing environmental damage and nurturing the natural resouces that we collectively own as stewards of this planet. Worse case scenario, we all end up with a self-sufficient, private eco-resort in one of the most pristine areas of the planet.
